Welcome to Ppldex. These Terms of Service ("Terms") govern your access to and use of the Ppldex website, applications, and services (collectively, the "Service") operated by Ppldex ("we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. We may ask for proof of consent at any time.
By using the Service, you represent and warrant that you meet these eligibility requirements.
2. Your Account
To use certain features of the Service, you must create an account. You agree to provide accurate and complete information when creating your account and to keep this information current.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at [email protected] if you believe your account has been compromised.
3. User Content
"User Content" means any content you submit, post, or transmit through the Service, including profile information, status updates, messages, notes, images, and other materials.
Your Ownership: You retain ownership of your User Content. However, by submitting User Content, you grant us the licenses described below.
License Grant: By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, copy, modify, distribute, display, and create derivative works from such content in connection with operating, promoting, improving, and developing the Service.
Your Responsibilities: You represent and warrant that you have all rights necessary to grant these licenses and that your User Content does not violate any law or infringe any third-party rights.
4. Acceptable Use
You agree not to use the Service to:
Post, send, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable; engage in harassment, bullying, stalking, or intimidation of any person; post sexual content involving minors or content that exploits or endangers minors in any way; impersonate any person or entity, or falsely represent your affiliation with any person or entity; post another person's private or personal information without their consent (doxxing); send unsolicited promotional messages, spam, or chain letters; attempt to gain unauthorized access to other users' accounts or any part of the Service; use the Service for any illegal purpose or in violation of any applicable laws; interfere with or disrupt the Service or servers or networks connected to the Service; reverse engineer, decompile, or attempt to extract the source code of the Service; use automated means (bots, scrapers, etc.) to access the Service without our written permission; or circumvent any measures we use to restrict access to the Service.
5. AI and Chatbot Features
The Service incorporates artificial intelligence and chatbot features that may mediate interactions and generate content. You acknowledge and agree that:
AI-generated content is produced by third-party AI service providers and we are not responsible for the accuracy, completeness, or appropriateness of such content; you should not rely on AI-generated content as professional, legal, medical, financial, or other expert advice; AI features are provided "as is" and may produce errors, inaccuracies, or inappropriate responses; and your use of AI features is also subject to any applicable terms of the underlying AI service providers.
6. Platform Disclaimer
Ppldex is a platform that enables users to connect, communicate, and share information. We are not a party to any interactions, transactions, agreements, or relationships between users.
We do not verify the identity, credentials, qualifications, or statements of any user. We do not endorse any user, their content, or any services they may offer. Any dealings you have with other users are solely between you and that user. You assume all risks associated with interacting with other users, including meeting in person.
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Ppldex, or between you and any other user.
We strongly encourage you to exercise caution, verify information independently, and use good judgment when interacting with others through the Service.
7. Content Moderation
We reserve the right, but have no obligation, to monitor User Content and user activity on the Service. We may, in our sole discretion and without notice, remove or disable access to any User Content that we believe violates these Terms, our policies, or applicable law, or is otherwise objectionable.
We may also suspend or terminate your account for violations of these Terms. Repeated or severe violations may result in permanent termination without prior warning.
8. Reporting and Takedown
If you believe any content on the Service violates these Terms, infringes your intellectual property rights, or is otherwise unlawful or harmful, please report it to us at [email protected]. Include a description of the content, its location on the Service, and the reason for your concern.
We will review reports and take appropriate action in our sole discretion. We may remove content, warn or suspend users, or take no action, depending on the circumstances.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information.
10. Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are owned by Ppldex and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.
11. Third-Party Services and Links
The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.
12. Changes to Service
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY USER CONTENT, INCLUDING PROFILES, STATUS UPDATES, MESSAGES, OR ANY OTHER INFORMATION PROVIDED BY USERS. YOU ACKNOWLEDGE THAT ANY RELIANCE ON SUCH CONTENT IS AT YOUR OWN RISK.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PPLDEX, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
15. Indemnification
You agree to indemnify, defend, and hold harmless Ppldex and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.
16. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
17. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the "Effective Date" above. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
18. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Service shall be resolved in the courts located in British Columbia, Canada, and you consent to the personal jurisdiction of such courts.
19. General
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. These Terms constitute the entire agreement between you and Ppldex regarding the Service and supersede any prior agreements.
